Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On September 9, 2014, Richard Nelli transitioned from Chief Operating Officer of Streamline Health Solutions, Inc. (the “Company”) to Senior Vice President of Strategy and Business Development. On September 9, 2014, the Company appointed David Sides, 44, as the Company’s Executive Vice President and Chief Operating Officer. Mr. Sides served as Chief Executive Officer of iMDsoft from July 2012 to March 2014. While with iMDsoft, a global leader of high-end clinical information systems, Mr. Sides led the company’s transformation following the acquisition of the company by a private equity firm. From 1995 to 2012, Mr. Sides held a number of successive positions at Cerner Corporation, a global supplier of health care information technology solutions, services, devices and hardware, culminating in serving as Senior Vice President of Worldwide Consulting. In that position, he led professional services in 24 countries worldwide. From March 2014 to September 2014, Mr. Sides was an independent consultant.

 

Mr. Sides has a B.A. in Biophysics from the University of California, Berkeley as well as Masters of both Health Administration and Business Administration from the University of Missouri, Columbia.

 

In connection with his appointment as the Company’s Chief Operating Officer, the Company agreed to pay Mr. Sides a base salary of $275,000. He also will receive options to purchase 350,000 shares of the Company’s common stock and will be eligible to receive a cash bonus in the amount of 65% of his base salary, which will be prorated to $37,240 for the current year.

Mr. Sides was most recently CEO of iMDSoft, a provider of clinical information systems and electronic medical records for critical, perioperative and acute care organizations.  During his tenure, Sides re-focused iMDSoft’s strategy to five core direct markets growing sales from under $16 million to over $36 million in less than two years.  Prior to that, Sides worked for 17 years at Cerner Corporation, serving as VP Managing Director of Cerner UK & Ireland, and later as SVP Worldwide Consulting.  He led Cerner’s professional services in 24 countries and was accountable for every implementation and all consulting work done by Cerner.  During his tenure in the professional services group at Cerner, he helped grow the business from $400 million in sales in 2008 to over $620 million in 2012, and along the way, early in his career worked directly with Bob Watson, Streamline’s President and CEO.

News Release

 

STREAMLINE HEALTH® PROVIDES INDUCEMENT GRANT TO NEW EVP & COO UNDER NASDAQ RULE 5635(C)(4)

 

Atlanta, GA — September 15, 2014 — Streamline Health Solutions, Inc. (NASDAQ: STRM), a leading provider of transformational data-driven solutions to help healthcare providers reduce exposure to risk, enhance clinical, financial, and operational performance, and improve patient care, today announced an inducement grant under Nasdaq Rule 5635(c)(4).

 

As previously announced, David Sides joined Streamline Health as Executive Vice President and Chief Operating Officer. In connection with his employment by Streamline Health, effective September 10, 2014, Mr. Sides was awarded options to purchase an aggregate of 350,000 shares of Streamline Health’s common stock, 100,000 of which are intended to qualify as an inducement grant pursuant to the NASDAQ Listing Rules. The NASDAQ Listing Rules require the distribution of a press release in connection with any inducement grant. This press release is intended to satisfy those requirements.

 

The options granted to Mr. Sides intended to qualify as inducement grants will vest in five equal annual installments on each of the first through the fifth anniversaries of the grant date, subject to accelerated vesting upon a change of control, a termination of employment by Streamline Health without cause, or termination by Mr. Sides with good reason.  Any unvested portion of the option will be forfeited upon a termination of employment by Mr. Sides without good reason or termination due to death or disability.  The vested and unvested portions of the option will be forfeited upon a termination of employment for cause. The exercise price of the option is $4.565 per share.
